1. Acceptance of Terms

Welcome to Brandible Marketing Solutions Limited ("Brandible," "we," "us," or "our"). These Terms and Conditions ("Terms") govern your use of our micro-influencer marketing platform, services, and related applications (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use our Services.

Important: These Terms include important provisions regarding payment obligations, content ownership, performance requirements, and dispute resolution. Please read them carefully.

2. Description of Services

2.1 Platform Overview

  • Connecting corporate clients with verified micro-influencers
  • Content creation and campaign management tools
  • WhatsApp status marketing and distribution services
  • Performance tracking and analytics
  • Payment processing and revenue sharing
  • Campaign optimization and reporting

2.2 Service Availability

Our Services are primarily available to users in Nigeria. We may expand to other countries in the future. Service availability may vary based on your location, device compatibility, and network connectivity.

2.3 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time, with or without notice. We will make reasonable efforts to notify users of significant changes that may affect their campaigns or earnings.

3. User Types and Eligibility

3.1 Corporate Clients

Corporate clients must:

  • Be legally registered businesses in Nigeria or other approved jurisdictions
  • Have legitimate marketing objectives and lawful products/services
  • Provide accurate business information and authorized representative details
  • Comply with all applicable advertising and consumer protection laws
  • Have the financial capacity to meet campaign payment obligations

3.2 Micro-Influencers

Micro-influencers must:

  • Be at least 18 years old or have parental consent
  • Be residents of Nigeria with valid identification
  • Have active WhatsApp accounts with genuine followers
  • Provide accurate personal and social media information
  • Demonstrate authentic engagement with their audience
  • Comply with our content guidelines and quality standards

3.3 Account Registration

All users must:

  • Provide accurate and complete registration information
  • Maintain current and truthful account information
  • Use secure passwords and protect account credentials
  • Be responsible for all activities under their account
  • Notify us immediately of any unauthorized access

4. Corporate Client Terms

4.1 Campaign Requirements

Corporate clients agree to:

  • Provide clear campaign objectives, target audience, and brand guidelines
  • Ensure all products/services promoted are legal and comply with Nigerian regulations
  • Review and approve content before it goes live
  • Respect intellectual property rights of others
  • Pay all campaign fees according to agreed terms

4.2 Content Approval Process

Clients must:

  • Review submitted content within 48 hours of submission
  • Provide specific, actionable feedback for any requested changes
  • Not unreasonably withhold approval for content that meets campaign guidelines
  • Accept responsibility for approved content performance

4.3 Performance Guarantees

We provide:

  • Verified view count tracking through our proprietary system
  • Transparent reporting on all campaign metrics
  • Quality assurance for influencer selection and content creation
  • Customer support throughout campaign duration

Performance-Based Pricing

Clients only pay for verified views and engagement. Our tracking system ensures accurate measurement and transparent billing.

5. Micro-Influencer Terms

5.1 Performance Requirements

Micro-influencers must:

  • Create high-quality content that aligns with brand guidelines
  • Post content on specified dates and times
  • Maintain WhatsApp status for minimum required duration (24 hours)
  • Respond to audience engagement in a professional manner
  • Provide accurate reporting on campaign performance

5.2 Content Standards

All content must:

  • Be original and authentic to the influencer's voice
  • Clearly disclose paid partnerships as required by law
  • Comply with our content guidelines and community standards
  • Not violate any third-party intellectual property rights
  • Meet quality standards for images, videos, and copy

5.3 Earnings and Payments

Payment structure:

  • Earnings based on verified view counts and engagement metrics
  • Payments processed monthly for completed campaigns
  • Minimum payout threshold of ₦5,000
  • Tax obligations are the responsibility of the influencer
  • Payment disputes must be raised within 30 days

5.4 Exclusivity and Conflicts

During active campaigns, influencers must:

  • Avoid promoting competing products or services
  • Disclose any potential conflicts of interest
  • Maintain campaign confidentiality until public launch
  • Not engage in activities that could harm brand reputation

6. Content Guidelines

6.1 Acceptable Content

Content must be:

  • Truthful, accurate, and not misleading
  • Appropriate for general audiences unless specifically targeted
  • Respectful of diverse communities and viewpoints
  • Compliant with Nigerian advertising standards
  • Original or properly licensed

6.2 Prohibited Content

Content must not include:

  • False, misleading, or deceptive claims about products/services
  • Hate speech, discrimination, or harassment of any kind
  • Illegal activities, substances, or services
  • Adult content, violence, or inappropriate material
  • Spam, scams, or fraudulent schemes
  • Copyright or trademark infringement
  • Political content or partisan messaging (unless specifically approved)

6.3 Disclosure Requirements

All sponsored content must:

  • Include clear disclosure of paid partnership (e.g., "#ad", "#sponsored", "#brandiblepartner")
  • Comply with Federal Competition and Consumer Protection Commission (FCCPC) guidelines
  • Be easily visible and understandable to the audience
  • Use language appropriate to the platform and audience

6.4 Content Review Process

Our content review includes:

  • Automated screening for prohibited content
  • Manual review by our content team
  • Brand approval process for client campaigns
  • Post-publication monitoring for compliance
  • User reporting system for inappropriate content

7. Payment Terms

7.1 Corporate Client Payments

Payment obligations for corporate clients:

  • Campaign fees due upon campaign launch or as specified in campaign agreement
  • Payment based on verified views and engagement metrics
  • Invoices issued monthly with 15-day payment terms
  • Late payments subject to 2% monthly interest charges
  • All payments in Nigerian Naira unless otherwise agreed

7.2 Influencer Payments

Payment structure for micro-influencers:

  • Earnings calculated based on verified performance metrics
  • Monthly payment cycle with payments processed by the 15th of each month
  • Minimum payout threshold of ₦5,000
  • Payment methods: bank transfer, mobile money, or other approved methods
  • Influencers responsible for applicable taxes and fees

7.3 Platform Fees

Brandible's revenue model:

  • Commission-based pricing: percentage of campaign spend
  • No upfront fees for influencer registration
  • Transaction fees may apply for certain payment methods
  • Premium features may have additional costs

7.4 Refunds and Disputes

Refund policy:

  • Refunds available for undelivered services due to platform issues
  • No refunds for completed campaigns with verified performance
  • Dispute resolution process available for payment disagreements
  • Refund requests must be submitted within 30 days

8. Intellectual Property

8.1 Platform Intellectual Property

Brandible owns all rights to:

  • Platform software, algorithms, and technology
  • Brandible trademarks, logos, and brand materials
  • Proprietary tracking and analytics systems
  • Platform content, documentation, and educational materials

8.2 User-Generated Content

For content created on our platform:

  • Influencers retain ownership of their original creative content
  • Corporate clients receive usage rights as specified in campaign agreements
  • Brandible receives limited license to display, distribute, and analyze content for platform operations
  • Users grant Brandible rights to use content for marketing and promotional purposes

8.3 Brand Assets

Use of brand assets:

  • Corporate clients grant influencers limited rights to use brand assets for approved campaigns
  • Influencers must use brand assets only as specified in campaign guidelines
  • Unauthorized use of brand assets is strictly prohibited
  • All brand asset usage rights terminate upon campaign completion

8.4 Copyright Compliance

All users must:

  • Respect copyright and intellectual property rights of others
  • Only use content they own or have proper license to use
  • Report suspected copyright infringement to our team
  • Respond promptly to valid copyright takedown requests

9. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal and business information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

9.1 Data Collection and Use

We collect and use data to:

  • Provide and improve our platform services
  • Match influencers with relevant campaigns
  • Track campaign performance and calculate payments
  • Ensure compliance with our terms and guidelines
  • Provide customer support and platform optimization

9.2 Data Sharing

We may share data:

  • Between clients and influencers for campaign collaboration
  • With service providers who assist in platform operations
  • As required by law or legal process
  • In aggregated, anonymized form for business analytics
NDPR Compliance: Our data practices comply with the Nigerian Data Protection Regulation (NDPR) and other applicable privacy laws.

10. Limitations of Liability

10.1 Platform Availability

While we strive to maintain continuous service availability, we are not liable for:

  • Temporary service interruptions or maintenance downtime
  • Third-party service failures (internet, payment processors, etc.)
  • Force majeure events beyond our reasonable control
  • User error or misuse of platform features

10.2 Campaign Performance

We provide tools and services but are not responsible for:

  • Campaign success or specific business outcomes
  • Individual influencer performance or content quality
  • Market response to campaigns or brand messaging
  • External factors affecting campaign reach or engagement

10.3 User Interactions

Brandible is not liable for:

  • Disputes between clients and influencers
  • Quality of individual relationships or collaborations
  • Content created by users of the platform
  • Actions of users outside the platform

10.4 Limitation of Damages

To the maximum extent permitted by law:

  • Our total liability is limited to the amount paid to us in the 12 months preceding the claim
  • We are not liable for indirect, incidental, or consequential damages
  • We do not guarantee specific results or outcomes
  • Users assume responsibility for their own business decisions

11. Termination

11.1 Termination by Users

Users may terminate their accounts:

  • At any time by contacting customer support
  • Following the account deactivation process in platform settings
  • With reasonable notice for ongoing campaigns
  • Subject to completion of existing payment obligations

11.2 Termination by Brandible

We may terminate user accounts for:

  • Violation of these Terms or our community guidelines
  • Fraudulent or deceptive practices
  • Failure to meet performance standards or payment obligations
  • Illegal or harmful activities
  • Repeated complaints or policy violations

11.3 Effect of Termination

Upon account termination:

  • Access to platform services will cease immediately
  • Ongoing campaigns may be completed or cancelled
  • Payment obligations remain in effect
  • Data retention follows our Privacy Policy
  • Certain provisions of these Terms survive termination

11.4 Post-Termination

After termination:

  • Users may not create new accounts without our approval
  • Outstanding payments will be processed according to normal schedule
  • Content licenses and usage rights continue as specified
  • Confidentiality obligations remain in effect

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes will be resolved in Nigerian courts with jurisdiction in Lagos State.

12.2 Dispute Resolution Process

Before initiating legal proceedings, we encourage resolution through:

  1. Direct Communication: Contact our customer support team
  2. Formal Complaint: Submit written complaint to management
  3. Mediation: Engage in good faith mediation
  4. Arbitration: Binding arbitration if required by law

12.3 Class Action Waiver

To the extent permitted by law, users agree to resolve disputes individually and waive rights to participate in class action lawsuits.

12.4 Limitation Period

Any claims must be brought within one (1) year of the date the claim arose, except as otherwise required by applicable law.
